Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the LawWorks websites, applications, and services, including (a) the public marketing site at lawworks.com (the "Marketing Site") and (b) the web-based application at app.lawworks.com and other LawWorks-controlled subdomains that link to these Terms (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an entity (such as a law firm) ("Customer" or "Firm"), you represent and warrant that you have authority to bind that entity, and "you" and "your" refer to that entity.

Definitions
- Account: a user account for the Services.
- Authorized Users: users authorized by a Customer to access the Customer's workspace.
- Customer Content: data, documents, messages, files, and other materials submitted to the Services by or on behalf of a Customer and its Authorized Users, including intake, matter/case information, contacts, communications, workflows, and generated outputs.
- Integrations: third-party products or services that interoperate with the Services.
- Marketplace: features enabling referrals/leads to be posted, viewed, shared, accepted, routed, or otherwise exchanged between participating parties.
- Order Form: a purchase order, online checkout, subscription page, or other ordering document referencing these Terms.
- Subscription: the paid plan(s) and associated limits selected by a Customer.
Eligibility and Accounts
The Services are intended for business and professional use by law firms and related professional users. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
You are responsible for maintaining the confidentiality of Account credentials and for all activity under your Account. Notify LawWorks promptly of unauthorized access or suspected compromise.
Firm administrators control Authorized User access, roles, permissions, and configuration. You agree not to bypass or attempt to bypass access controls.
Acceptable Use
Subject to these Terms and payment of applicable fees, LawWorks grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the applicable Subscription term.
You will not (and will not allow others to):
- Use the Services in violation of law or professional obligations
- Upload or transmit malicious code, or attempt to exploit vulnerabilities
- Circumvent, disable, or interfere with security-related features
- Reverse engineer, decompile, or attempt to derive source code (except as prohibited by law)
- Scrape, harvest, or collect information other than as intended
- Use the Services to build or benchmark a competing product (except as expressly permitted in writing)
- Impersonate another person or misrepresent affiliation
- Send unlawful, misleading, abusive, or harassing communications
- Interfere with, disrupt, or create an undue burden on the Services or networks
Professional Use; No Legal Advice
LawWorks provides software tools. LawWorks is not a law firm and does not provide legal advice. You are solely responsible for compliance with your ethical obligations and rules of professional conduct, client communications, and legal work product.
Decisions made using information or outputs from the Services (including AI outputs) remain your responsibility. You are responsible for reviewing and validating outputs before use or reliance.
Customer Content and Data Rights
As between LawWorks and Customer, Customer retains all rights to Customer Content. LawWorks does not claim ownership of Customer Content.
You grant LawWorks the right to host, store, process, transmit, and display Customer Content only as necessary to provide, secure, support, and improve the Services, and as otherwise permitted by these Terms and your configuration.
Customer represents and warrants that it has all rights, permissions, and lawful basis necessary to provide Customer Content to LawWorks for processing, including any required notices and consents.
LawWorks may create and use aggregated and/or de-identified data derived from use of the Services for analytics, product improvement, benchmarking, security, and business intelligence, provided such data is not reasonably identifiable to a person or a specific Customer.
AI and Automation Features
The Services may include AI-enabled features that generate drafts, summaries, suggestions, documents, or other outputs. AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating outputs before use or reliance.
By default, LawWorks does not send a firm's data to external AI model providers for benchmarking. If a firm opts in, LawWorks may send de-identified/anonymized information to AI providers to benchmark performance relative to other firms and generate improvement suggestions. LawWorks contractually prohibits those providers from using the data to train publicly available models.
You will not use AI features to violate law or third-party rights or to attempt to re-identify de-identified data.
Integrations and Third-Party Services
Integrations are optional and firm-controlled. They may be enabled only by a firm admin (or as configured by Customer). When enabled, Integrations may access Customer Content via scoped APIs and may process data.
Some or all Integration processing may occur outside of LawWorks systems and beyond our control. Third-party providers' terms and privacy policies govern their services.
LawWorks is not responsible for third-party integrations, including their availability, security, functionality, acts or omissions, or their processing of data.
Customer acknowledges that enabling an Integration is Customer's decision and agrees not to hold LawWorks responsible for errors or failures caused by third-party providers, to the maximum extent permitted by law.
Marketplace (Referrals and Leads)
The Marketplace may enable referrals/leads to be made available broadly to marketplace participants and/or allow referrals to be directed to a specific firm where the initiating firm chooses.
LawWorks does not guarantee that any lead/referral will be accurate, exclusive, available, suitable, or accepted, or that any participant will respond or perform. LawWorks does not endorse or certify marketplace participants.
You are responsible for ensuring you have the right to submit, share, and receive lead/referral information and for complying with applicable laws, professional rules, advertising/solicitation rules, fee-splitting restrictions, and confidentiality obligations.
Disputes between marketplace participants are between those parties. LawWorks may (but is not obligated to) suspend accounts, remove listings, or take other actions to protect the Services.
Fees, Billing, Taxes, and Payments
Fees are described in the applicable Order Form or checkout flow. You agree to pay all fees and applicable taxes.
Payments are processed by third-party providers, including Stripe. By making payments, you agree to Stripe's terms and policies as applicable.
If marketplace payment routing or multi-party payments are enabled, you authorize LawWorks and Stripe to facilitate payment flows as configured. LawWorks is not a bank and does not hold itself out as a money transmitter.
Fees are exclusive of taxes. You are responsible for applicable taxes, duties, and governmental charges, except for taxes based on LawWorks' income.
LawWorks may suspend or terminate access for overdue amounts, subject to any required notice.
Term, Suspension, and Termination
These Terms remain in effect while you use the Services. Subscription terms are as stated in an Order Form.
LawWorks may suspend access immediately if required by law, necessary to prevent harm to the Services or users, you violate these Terms, or there is suspected fraud, abuse, or a security incident.
Either party may terminate a Subscription as permitted by the applicable Order Form. LawWorks may terminate for material breach if not cured within a reasonable period after notice (or immediately for serious violations).
Upon termination, your right to access the Services ends. Certain sections survive, including IP, disclaimers, limitation of liability, indemnity, and dispute resolution.
Intellectual Property
LawWorks retains all rights in the Services, including software, interfaces, designs, and documentation, and all related intellectual property rights. These Terms do not grant you ownership of the Services.
If you provide suggestions or feedback, you grant LawWorks a perpetual, irrevocable, royalty-free license to use and incorporate it without obligation.
Confidentiality
Customer Content and non-public information about the Services may be confidential. Each party agrees to protect the other party's confidential information using reasonable care and not disclose it except as permitted by these Terms or required by law. Any additional confidentiality terms in an Order Form or separate agreement will control if they conflict.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LAWWORKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. LAWWORKS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED, THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE, OR THAT THIRD-PARTY INTEGRATIONS OR MARKETPLACE PARTICIPANTS WILL MEET YOUR REQUIREMENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LAWWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. LAWWORKS' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO LAWWORKS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF NO FEES WERE PAID).
Indemnification
Customer will indemnify, defend, and hold harmless LawWorks and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from: (a) Customer Content; (b) Customer's use of the Services, Integrations, or Marketplace in violation of these Terms; or (c) disputes between Customer and third parties (including marketplace participants), except to the extent caused by LawWorks' breach of these Terms.
Compliance; Export; Sanctions
You agree to comply with applicable laws, including export control and sanctions laws. You may not use the Services if you are located in a country or region subject to comprehensive U.S. embargoes or if you are prohibited from receiving the Services under applicable law.
Privacy
Our Privacy Policy explains how we process personal information. By using the Services, you acknowledge the Privacy Policy at https://lawworks.com/privacy.
Changes to These Terms
LawWorks may modify the Services and these Terms from time to time. If we make material changes, we will provide notice by posting updated Terms and updating the "Last Updated" date, and/or by other reasonable means. Your continued use after the effective date of updated Terms constitutes acceptance.
Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Exclusive venue for any permitted court action will be state and federal courts located in Orange County, California, and you consent to personal jurisdiction there.
Miscellaneous
- Assignment: You may not assign these Terms without LawWorks' consent; LawWorks may assign in connection with a corporate transaction.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce is not a waiver.
- Entire agreement: These Terms, Order Forms, and referenced policies form the entire agreement regarding the Services unless superseded by a signed agreement.
- Force majeure: Neither party is liable for delays due to events beyond reasonable control.
- Headings: Headings are for convenience only.
